Training Agreement

This Training Agreement (“Agreement”) is made between Urban Defense Academy dba Shin Gan Dojo (referred to as “the School,” “we,” “us,” or “our”) and the undersigned participant, or the parent/legal guardian of the undersigned minor participant (referred to as “Member,” “you,” or “your”).

By signing this Agreement, you acknowledge and agree to the terms and conditions outlined below for participation in martial arts training and related activities (“Training”).

1. Membership & Tuition

  • Monthly Tuition: Your tuition will be billed automatically each month on the date agreed upon during your enrollment.
  • Automatic Renewal: For your convenience, your membership automatically renews monthly. Should you wish to cancel, please provide written notice according to our Cancellation Policy.
  • Scheduled Closures: Holidays, staff training, and other scheduled closure days are factored into your monthly tuition cost. We do not offer discounts or alter monthly tuition during these periods.
  • Tuition Adjustments: The School reserves the right to adjust monthly tuition rates. Members will receive at least 30 days’ written notice of any such increase.
  • Separate Fees: Please note that your monthly tuition does not include fees for special seminars, additional uniforms, or promotion examinations. These are billed separately.

2. Payments & Fees

  • Late Charge: A delinquency charge of $50.00 will be assessed for any payment not received within 10 days after its due date.
  • Returned Payment Fee (Non-EFT): A fee of $50.00 will be charged for any check, draft, or order that is not honored by your bank.
  • Declined EFT Payment Fee: If a scheduled Electronic Funds Transfer (EFT) payment is declined for any reason, a $15.00 fee will be assessed to manually re-process the transaction.
  • Collection Costs: If the School takes legal action to collect outstanding amounts owed under this Agreement, you agree to pay all reasonable attorney’s fees and court costs incurred by the School.

3. Cancellation Policy

You may cancel this Agreement at any time by providing 30 days’ written notice. Please refer to our separate detailed Cancellation Policy for full terms (below).

4. Participant Conduct & Safety

  • Physical & Emotional Fitness: You represent that you (or the minor participant) are physically and emotionally fit to engage in martial arts training.
  • Obey Rules & Regulations: You agree to obey all rules and regulations of Urban Defense Academy dba Shin Gan Dojo, which are established to maintain order and reduce the potential for injury.
  • Detrimental Conduct: If your conduct, actions, or statements while participating in Training are determined to be detrimental to the safety or well-being of other participants or instructors, you agree to comply willingly with any request from the director or their agents to immediately remove yourself from the training site. In such a case, you understand and agree that you will forfeit any prepaid training fees.
  • Responsible Use of Abilities: You agree that you will not, under any circumstances, make illicit or impermissible use of the abilities and techniques acquired through training at Urban Defense Academy dba Shin Gan Dojo.

5. Acknowledgment of Risks & Release of Liability

By signing this Agreement, you knowingly assume all risks involved in participation in this Training. You agree to release Brian Simmons, Urban Defense Academy, Shin Gan Dojo, and all their agents, employees, and representatives from any responsibilities or liability for any injury you (or the minor participant) may sustain while participating in this Training. Please refer to our separate detailed Liability Waiver, Release, Assumption of Risk, and Indemnification Agreement for a full understanding of these terms.

6. Rank Promotion

You understand that rank promotion is entirely at the instructor’s discretion. Eligibility to test for such promotions is contingent upon the instructor’s assessment of your (or the minor participant’s) daily practice, frequency of class attendance, general progress, daily mental attitude, and so forth.

7. Photo & Video Release

You agree that your name (and the name of the minor participant, if applicable), and any photographs or videos taken during the School’s activities, whether inside or outside the school premises, may be used by Urban Defense Academy dba Shin Gan Dojo for promotional and marketing purposes without further compensation.

8. Non-Compete Clause (Adult Participants Only)

For adult participants, you agree not to open a school teaching the martial arts as transmitted by Brian Simmons, Urban Defense Academy Shin Gan Dojo, or their agents and representatives, within 30 miles of this facility, during active membership and within 2 years of the termination of your study at Shin Gan Dojo, without the express written permission of Brian and/or Gigi Simmons.

9. Entire Agreement

This Agreement constitutes the entire and exclusive agreement between the parties, superseding all prior discussions, promises, representations, understandings, and/or agreements, whether written or oral, pertaining directly or indirectly to this Agreement. This Agreement may only be modified by a written instrument signed by both parties. However, the Seller or assignees of this Agreement are authorized to correct obvious errors within this document.

Cancelation or Temporary Hold Policy

We understand that circumstances can change, and we want to make our membership cancellation and temporary hold process as clear and fair as possible. Please review the updated policy below regarding your martial arts membership.

1. Membership Auto-Renewal

All martial arts memberships are set for automatic monthly renewal. This means your membership will continue and your payment method will be charged on your scheduled billing date unless you formally cancel.

2. Required Notice Period

To cancel your membership and prevent future charges, we require 30 days’ advance written notice. This notice period allows us to process your cancellation efficiently and manage our class schedules.

3. How to Cancel Your Membership

To initiate a cancellation, you must provide written notice to Urban Defense Academy dba Shin Gan Dojo. We recommend doing so via email to martialarts@shingandojo.com or by submitting notification at our front desk.

4. Effects of Cancellation Notice

Here’s how your final charges will be calculated based on when you provide your 30-day written notice:

  • If you give us more than 30 days’ notice before your last training day: We’ll simply charge you for your active membership period right up to your specified last day of training. Your membership will end on that exact date.
  • If you provide less than 30 days’ notice before your desired last day: Your membership requires a full 30-day notice period. If your notice falls short of this, one additional full monthly payment will be deducted to satisfy the 30-day requirement. Your membership will then remain active for that final paid period, and you’ll have full access to classes and facilities until the end of that cycle.

5. Pausing Your Membership (Temporary Hold)

If you need to temporarily suspend your membership due to travel, injury, or other reasons, you may request a membership pause.

  • A minimum of 14 days’ written notice is required to pause your membership.
  • The maximum pause duration is three (3) months.
  • Your membership will automatically reactivate at the end of the agreed-upon pause period.
  • Upon reactivation, all terms, conditions, and policies of your Shin Gan Dojo membership will remain in effect.
  • Please contact us directly to discuss specific terms and eligibility for pausing your membership.

6. Non-Refundable Fees

Please note that all membership fees are non-refundable. We do not issue refunds for any unused portions of a membership or for registration fees. This policy helps us maintain consistent operations and class availability for all members.
